The Supervisory Board
The Supervisory Board is GRI’s highest governance body within its two-tier governance structure. It oversees and advises the Management Board, provides oversight of GRI’s governance bodies, and monitors strategy, performance, risk management, governance, and compliance in support of GRI’s mission and objectives.
The Supervisory Board Member's role
Supervisory Board members provide independent oversight and strategic guidance to support GRI’s mission and objectives. Through oversight of the Management Board and GRI’s governance bodies, members help promote effective governance, accountability, risk management, and organizational performance.
Appointed by: The GRI Supervisory Board
Term: A three-year term, with a possible renewal for a second term.
Time Commitment
Approximately 10-12 days a year, including travel for in-person meetings, meeting preparation, and review of materials. The Supervisory Board meetings four times annually, typically comprising three virtual meetings and one in-person meeting.
Supervisory Board members are expected to serve on one or more Board committees, which support the Board in carrying out its oversight responsibilities. Committees include, 1) Finance, Audit, Risk & Remuneration committee, 2) Governance & Strategy committee, and 3) Nomination committee. Committees generally meet virtually four times per year, with additional meetings scheduled as needed. Committee service requires attendance at meetings as well as preparation and review of materials.
Reimbursement
Participation as a member of the Supervisory Board is voluntary. GRI reimburses reasonable travel-related expenses and provides a daily per-diem related to in-person meetings, according to its Travel Policy.
Key Responsibilities
All specific responsibilities are outlined in the Supervisory Board Bylaws
- Oversee and advise the Management Board on GRI’s strategy, objectives, and performance.
- Monitor organizational performance and progress towards GRI’s mission and goals.
- Oversee risk management, internal controls, and accountability processes.
- Review financial reporting and organizational results.
- Monitor compliance with applicable laws, regulations, and governance requirements.
- Oversee the effectiveness of GRI’s governance structure and governance bodies.
- Provide oversight of the Stakeholder Council, Global Sustainability Standards Board (GSSB), and Due Process Oversight Committee (DPOC).
- Review and approve matters reserved for Supervisory Board approval under GRI’s governance framework.
Ideal Experience
- A track record of board-level experience in an organization(s) operating in a relevant, complex, multidisciplinary and multistakeholder setting.
- Proven leadership accomplishments and expertise in fields, or across constituents, relevant to GRI.
- A strong understanding of governance, and the role of a Supervisory Board.
- A deep passion for GRI’s mission, vision and programs.
- Exceptional people and communication skills.
- Personal qualities of integrity, objectivity, credibility and excellent intellectual and analytical skills.
Nomination and appointment process
The GRI Supervisory Board is seeking qualified applicants for the Supervisory Board member positions starting on 1 January 2027. We welcome nominations from current Supervisory Board members eligible for 2nd terms and from all GRI stakeholder constituencies. A definition of GRI’s constituencies can be found here. Supervisory Board members are appointed for a term of up to three years and are eligible to serve two consecutive terms.
